All content at www.pipelinecoach.com is provided without warranty of any kind, either express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and freedom from infringement.
The user assumes the entire risk as to the accuracy of any of the content found at www.pipelinecoach.com and that of other sites linked with www.pipelinecoach.com. Pipeline Coach™ disclaims any liability arising from any use of said content.
Pipeline Coach hereby grants users of this site permission to reproduce materials available therein for the sole use of authorized users. Re-use or reproduction or distribution for commercial purposes is prohibited.
Except for these specified uses, no part of the materials available may be copied, downloaded, stored in a retrieval system, further transmitted or otherwise reproduced, stored, disseminated, transferred or used, in any form or by any means, except as permitted herein. Distribution for commercial purposes is prohibited.
You are granted a nonexclusive, nontransferable, limited license to access and use the materials and services contained in this site. Materials and features may be added to or withdrawn or otherwise changed without notice.

Ground Rules
Pipeline Coach succeeds because of the high integrity and quality of its users and the rules of engagement which ensure the integrity and quality of each user’s experience. We encourage our users to be as honest and forthright about themselves and users are encouraged to report any communications that they consider to be misleading and any users who appear to be misrepresenting themselves.
Anyone who does not respect the interests of the members and attempts to abuse the system for their own benefit will be banned. The value of the site is only partially derived from reading the postings of others. True value for users who are advancing their personal and professional success can only come from participating – i.e. giving of your own ideas and experiences as much as you receive from reading what others have to say.
Trademark Infringement
All names and logos associated with Pipeline Coach™ are trademarks and/or service marks of Pipeline Coach, LTD. You may not use any Pipeline Coach trademark/service mark in any manner without Pipeline Coach's written consent. Furthermore, users may not infringe on any patents, trademarks, service marks, or other copyrights of Pipeline Coach users or any other parties whatsoever.
Conditions for Use
Pipeline Coach or any affiliated services may not be used by persons under the age of 18. This same restriction applies to any users suspended or removed from the Pipeline Coach or any affiliated services. Users are prohibited from transferring or profiting from the transfer of their Pipeline Coach registration to another party. If you do not meet these requirements, you are not eligible to use the Pipeline Coach.
User Agreement
Users agree to not use Pipeline Coach or any services provided by Pipeline Coach or its affiliates to:
- Commit unlawful acts
- Post or "spam" other users on the system with unsolicited advertising or other communications;
- Harm Pipeline Coach or any related systems and infrastructure in any way through any means;
- Collect or resell data containing other users' profile or personal information;
- Harass other users or anyone else in any way;
- Misrepresent themselves in any way;
- Commit actions considered to be unethical or to abuse the Pipeline Coach system;
- Attempt to deliberately solicit users to leave the Pipeline Coach;
Pipeline Coach will not issue any refunds whatsoever to those who have violated these Terms of Service.
Extent of Liability
By accepting this Terms of Service agreement, you agree that Pipeline Coach and any persons or entities associated or affiliated with Pipeline Coach are not responsible for any damages to any party as a result of using the services provided or transacting business with Pipeline Coach or affiliates. Pipeline Coach reserves the right, but is not obligated, to screen the content that is posted on the Pipeline Coach for any obscene, abusive, false, unreliable or other unacceptable material. However, we cannot guarantee that users will not find such material on this site. We rely a great deal on Pipeline Coach users to help protect the standards and integrity of the Web Site. Please report any such offenses to Pipeline Coach so that proper action can be taken. We reserve the right, but are not obligated, to terminate any registrations that are in violation of this Terms of Service Agreement or any other policies that our company maintains. We hold no responsibility for ANY damages caused for any reason to users of our services or to other parties. Furthermore, Pipeline Coach is not responsible for malfunctioning features or services that may hinder your use of the Pipeline Coach or its offerings or cause damages to any party. We will do our best to provide a fully functioning service with complete integrity at all times, but this cannot in any way be guaranteed. Pipeline Coach will not be held responsible for the actions of other users or outside parties that disrupt the normal functioning of the site.

Professional Services Agreement
SESSIONS: The subject, date and length of each professional services session, and whether the session will be held telephonically, electronically, or in-person, will be mutually agreed to by Pipeline Coach and Client in advance. Sessions may include but will not be limited to professional training, coaching, and management services; as generally defined by Pipeline Coach’s web site and other marketing materials. A series of daily, weekly, monthly, quarterly or annual sessions may also be defined in advance and mutually agreed to in writing.
SCHEDULE CHANGES: If a Client needs to reschedule a session, the Client must provide Pipeline Coach 24 hours advance notice. If 24 hours advance notice is not provided, then the session shall be forfeited. Also, if the Client is more than 15 minutes late, the session shall be forfeited. Pipeline Coach recognizes that at times emergencies will arise and will give consideration to unavoidable circumstances in determining whether a session has been forfeited.
FEES: Unless otherwise agreed to in writing, travel time will not be billable for in-person sessions that are at least four (4) consecutive hours in length and require less than 45 minutes of round-trip travel. When on-site hours are less than four (4) consecutive hours or when round-trip travel exceeds 45 minutes Client will be billed hourly at the agreed to fee schedule. Fees are subject to a 5% increase each year effective one (1) year from the comencement of work with a corresponding 5% increase being made each year thereafter.
Payment for retained services is due in advance of agreed coaching schedule. Payment for hourly work is due net 15 days. There is a no refund policy. It is also understood that the fee schedule and payment terms may be modified based on mutual written agreement.
RESULTS: Pipeline Coach offers an unconditional satisfaction guarantee. If within 24 hours of any one session ending the client does not feel they have received value from that session, the Client will not be billed or will receive a credit for that session.
Client understands the distinction between “Coaching” and “Consulting”, and therefore understands that while the coaching method provided by Pipeline Coach is results-focused, success, as defined by the Client, is reliant upon the willing and active participation of the Client. Core to Pipeline Coach’s business model is the belief that the Client is in control of its relationship with Pipeline Coach, and that the services provided and economic agreement must align with the Client’s vision, values and expectations.
SERVICES: Services may include some or all of the following: (1) Financial analysis of critical business areas, (2) weekly, monthly or quarterly internal management reporting, (3) management and oversight of internal administrative functions, (4) internal business process, sales flow, budgeting and forecasting, (5) coordination of incentive compensation plans, (6) evaluation, training, coaching, and management of select sales, marketing, product/service team members channel partners, contract sales agents, and vendors, (7) sourcing, evaluation, recruiting, bench recruiting, and on-boarding of new employees, managers, and executives, (8) supervision, oversight, innovation, and execution of activities and disciplines that impact pipeline performance, and (9) other related services which are mutually agreed upon. Pipeline Coach will also provide supervision and oversight of the Pipeline Coach professional who is assigned to work with the Client.
Pipeline Coach professionals are not authorized to: (1) render legal or accounting opinions, (2) prepare external use financial statements, (3) handle or transport cash or deposits or other negotiable instruments, (4) make final decisions with respect to the hiring and firing of personnel, (5) make, order or purchase goods for the Client, (6) have access to or sign bank checks, (7) execute binding documents such as leases, contracts, proposals, etc. on behalf of the Client, or (8) commit the company, financially or contractually, in any way.
Use of projections: In the course of providing services any projections or forecasts created with the assistance of Pipeline Coach are for internal use only and may not to be represented within the Client organization or to a third party as anything other than internal use projections.
Recruiting and placement: Should Client utilize Pipeline Coach to refer or source candidates as part of the recruiting process, Pipeline Coach will be entitled to a placement fee equal to 20% of the annualized compensation of the candidate upon hire. Recruiting and placement fees will not apply where PLC is assisting Client in hiring personnel not referred or sourced by Pipeline Coach. Should Client chose to hire any Pipeline Coach professional assigned to work with their organization, Pipeline Coach will be entitled to a placement fee equal to 35% of the annualized compensation of the individual upon hire. Per Ohio requirements, sales tax will apply to placement fees.
CONFIDENTIALITY: Pipeline Coach adheres to the International Coach Federation Code of Ethics. Pipeline Coach recognizes that the Client has future plans, business affairs, customer lists, financial information, goals, personal information, and other private information. Pipeline Coach will not at anytime, either directly or indirectly, use any information for its own benefit or disclosure or communicate this information to a third party. In addition, Pipeline Coach will not divulge the coaching relationship without the expressed written consent of the Client. A violation of this paragraph is a material breach of this Agreement.
LIMITATION OF LIABILITY: If for any reason the Pipeline Coach professional who is performing services for Client is not performing satisfactorily Pipeline Coach will replace the professional as soon as reasonably practical. Pipeline Coach makes no other warranty, either express or implied. Pipeline Coach shall not be liable for any indirect, incidental, punitive, special or consequential damages, including loss of profits, revenue, data, or use, incurred by Client or any third party, whether in an action in contract or tort, and in no event shall Pipeline Coach’s liability exceed the amount due or payable for the most recent 3 months services under this Agreement.
Client agrees to indemnify, defend and hold Pipeline Coach (including directors, officers, employees, shareholders, agents, and advisors) harmless from and against all claims, damages, losses, liabilities and expenses (including reasonable attorneys’ fees) arising out or in connection with (a) Client’s breach or non-performance of any representation, warranty, covenant, agreement or obligation contained in or in connection with this Agreement, (b) any action, suit, or proceeding filed by or on behalf of any of Client’s current or former employees, contractors, agents or advisors, and (c) the performance of services under this Agreement, other than those related to our gross negligence.
PERSONNEL, EQUAL OPPORTUNITY AND SAFETY: Client agrees not to directly contract with, hire, or otherwise enter into an arrangement with any Pipeline Coach professional without the approval of the Managing Partner of Pipeline Coach.
Both Client and PLC agree to comply with all applicable equal employment opportunity laws, including, but not limited to, Title VII of the 1964 Civil Rights Act, the Civil Rights Act of 1991, the Americans with Disabilities Act, and, if applicable, the Vietnam Era Veterans Readjustment Assistance Act of 1974, as amended. Client certifies that its premises comply with all government requirements regarding safe working conditions and that PLC professionals working on Client premises will be given any required safety training or information.
WARRANTY AND DISCLAIMER: Pipeline Coach warrants that the services it performs shall be performed in a timely and professional manner conforming to generally accepted industry standards and practices. THE CLIENT ACKNOWLEDGES THAT THE COACHING RELATIONSHIP IS IN NO WAY TO BE CONSTRUED AS PSYCHOLOGICAL COUNSELING OR ANY TYPE OF THERAPY. If the Client feels the need for counseling or therapy, it is the responsibility of the Client to seek a licensed professional.
